15.装运条款(terms ofshipment)：

themanufacturers shall, before delivery, make a precise and comprehensiveinspection of the goods with regard to its quality, specifications, performanceand quantity/weight, and issue inspection certificates certifying the technicaldata and conclusion of the inspection. after arrival of the goods at the portof destination, the buyer shall apply to china commodity inspection bureau(hereinafter referred to as ccib) for a further inspection as to the specificationsand quantity/weight of the goods. if damages of the goods are found, or thespecifications and/or quantity are not in conformity with the stipulations inthis contract, except when the responsibilities lies with insurance company orshipping company, the buyer shall, within _____ days after arrival of the goodsat the port of destination, claim against the seller, or reject the goodsaccording to the inspection certificate issued by ccib. in case of damage ofthe goods incurred due to the design or manufacture defects and/or in case thequality and performance are not in conformity with the contract, the buyershall, during the guarantee period, request ccib to make a survey.

19.索赔(claim)：

买方凭其委托的检验机构出具的检验证明书向卖方提出索赔(包括换货)，由此引起的全部费用应由卖方负担。若卖方收到上述索赔后______天未予答复，则认为卖方已接受买方索赔。

20.迟交货与罚款(latedelivery and penalty):

第一条 总则

3. 对外执行合同过程中产生的权益由甲方享有。

第二条 结算和支付

1. 根据国家规定和进口商品代理原则，所签定合同项下货款、关税(非免税品)、机电证费、通关费、商检费、运保费、银行手续费(合同金额的0.3%)、运费(口岸到甲方仓位)、报关费、海关监管费、代理手续费等凭乙方出据的原始凭证由甲方承担。

2. 外贸代理费由乙方向甲方开据正式发票，按合同金额 %收取外贸代理费。

3. 根据外贸合同，甲方向乙方支付信用证金额的100%，由乙方负责按购货合同开证。待货物到医院经安装、调试、验收合格后，甲方按购货合同向乙方支付剩余货款及外贸代理手续费。

4. 各项费用支付均以预付当日中国银行外汇牌价为准。

第三条 责任与义务

在各进口项目中，甲乙双方各自承担如下责任：

甲方：

1. 甲方保证所委托代理进口的仪器设备符合国家政策法规。

2. 负责所进口仪器的设备型号、安装、配件和技术谈判。

3. 负责同外商就有关进口合同的详细条款进行谈判。

4. 负责办理进口许可证手续。

5. 负责落实进口仪器所需款项，并按合同要求转入乙方帐户。

6. 按代理合同要求向乙方支付有关费用。

7. 协助乙方处理进口设备合同执行过程中出现的有关问题和索赔等相关事宜。

8. 因甲方原因导致外商向乙方索赔，责任由甲方承担。

乙方：

1. 协助商务谈判，代理甲方签定的进口医疗设备合同，所有代理购买的设备都必经甲方安装、调试，需由卖方、甲方、乙方三方验收签字认可。

2. 负责对外执行合同、购汇付汇等有关事宜，保证专款专用。开证金额足额到帐后7个工作日内将信用证开出。

3. 协助办理相关设备进口许可证手续。

4. 负责进口设备的清关、商检等事宜。

5. 代理甲方转运进口设备到甲方指定的仓位。因未到甲方指定仓位造成设备损毁、损失等一切经济损失由乙方代表甲方向货物承运人或货物保险公司索赔。如遇特大贵重设备，必须由乙方联系有资证的搬运公司签署正式合同实施搬运。费用先由乙方垫付，待设备安装、调试验收合格后凭搬运公司的正式发票由甲方结算(搬运费由甲方、乙方、搬运公司商定)。

6. 负责处理进口合同执行过程中出现的有关问题和索赔以及仲裁与诉讼等相关事宜，发生的费用由甲方承担。

第四条 违约及仲裁

1. 甲乙双方应认真履行本合同，因任何一方过错使本代理合同不能履行或造成其它后果的，由过错方承担责任;如属双方过错，则根据各方过错大小分别承担相应的责任。

2. 甲乙双方应及时相互通报执行进口合同中所发生的问题，及时磋商解决办法，由于延误造成的损失由责任方承担。

3. 本代理合同规定的费用不包括仲裁或诉讼所需费用。

4. 由于不可抗力造成代理合同不能履行时，不能履行方应在20天内向对方提出书面通知及权威机构证明，可免于承担经济责任。

第五条 其他细则

1. 甲乙双方同意，在执行本合同过程中发生的一切争议，应通过友好协商解决，协商不成的，任何一方可诉诸人民法院解决。

2. 甲乙双方执行合同中的所有往来联系，以正式的书面文件为准，紧急事项应用传真联系，但事后须用正式书面文件确认。

3. 本代理合同一式两份，甲乙双方各执一份，由甲乙双方授权代表签字和加盖双方公章后生效，本代理合同规定的权利、义务结束后，即行终止。

4. 乙方对外签定的每一个进口合同中的商务条款由乙方负责，有关技术条款由甲方负责。

5. 本合同有效期自签署生效后壹年。

第六条 代理进口仪器登记表

每一个进口合同，都要详细填写，双方签字认可，乙方具体执行。详见登记表。
