(17) 逾期发运：如果由于买方原因造成逾期发运，买方承担责任。造成自签订合同之日起超过45天不能发运的，卖方将每日按货物金额的3%收取保管费；如果由于买方原因造成逾期发运超过6个月，卖方有权自行处置定金和货物。如果是卖方原因造成的逾期发运，卖方需提前告知买方并得到买方的确认并承担其他相关费用。

(18) 质量/数量异议：对于质量方面的异议，买方必须在货物抵达目的港后30天之类提出：对于数量方面的异议，买方必须在货物抵达目的港后15天之内提出。对由于保险公司、运输公司、其他运输机构或邮局的原因所造成的货物差异，卖方不负任何责任。 quality/quantity discrepancy: in case of quality discrepancy, claim shall be filed by the buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. it is understood that the seller shall not be liable, for any discrepancy of goods shipped due to causes for which the insurance company, shipping company, other transportation organization or post office are liable.

(19) 不可抗力：卖方对由于下列原因而导致不能或暂时不能履行全部或部分合同义务的，不负责任：水灾、火灾、地震、干旱、战争或其他任何在签约时卖方不能预料、无法控制且不能避免和克服的事件。但卖方因尽快地将所发生的事件通知对方，并应在事件发生后15天内将有关机构出具的不可抗力事件的证明寄交对方。如果不可抗力事件之影响超过120天，双方应协商合同继续履行或终止履行的事宜。

force majeure: seller shall not be responsible for failure or delay in performance of entire or portion of these sale contract obligations in consequence of force majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. but seller shall inform the incidents to buyer immediately, and shall delivery the certificate of force majeure incidents issued by related organization within 15 days after the incidents happened. if the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the sales contract.

(20) 仲裁：因履行本合同所发生的一切争议，双方应友好协商解决，如协商仍不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费应由败诉一方承担，但仲裁委员会另有裁定的除外。在仲裁期间，除仲裁部分之外的其他合同条款应继续执行。

19.索赔（claim）：

买方凭其委托的检验机构出具的检验证明书向卖方提出索赔（包括换货），由此引起的全部费用应由卖方负担。若卖方收到上述索赔后______天未予答复，则认为卖方已接受买方索赔。

21.不可抗力（forcemajeure）：

鉴于，

故而，双方经友好协商对剩余款项的支付事宜达成如下补充协议：

1.        同意免除自20__年1月1日起至20__年12月31日的授权使用费81,666美金；减免之后，camsing应付的款项为163,334美金（计算方式：245,000 -81,666=163,334）。同意，按本协议约定支付减免后的授权使用费163,334美金后，不再向主张任何费用，包括但不限于授权使用费、违约金等。

4.       应严格按照分期付款计划执行，如有一期逾期支付则视为违约，届时剩余应付款项的支付期限立即到期，并且原先减免的20__年度81,666美金的授权使用费不再减免，将一同并入应付款项由立即一次性全额支付，同时，还应按未付款项总金额每日万分之五的标准向支付逾期付款违约金。

5.        法律适用及争议解决：本协议适用中国法律。凡因本协议引起的或与本协议有关的任何争议，均应提交至深圳国际仲裁院（scia）按照其仲裁规则进行仲裁，届时败诉方应承担对方为解决本争议而产生的一切合理费用，包括但不限于仲裁费、律师费、差旅费、评估费、调查费、鉴定费等相关费用。

applicable law and dispute resolution: this agreement shall be governed by the laws of china. any dispute arising from or in connection with this agreement shall be submitted to shenzhen court of international arbitration (scia) for arbitration according to scia’s arbitration rules, and the losing party shall bear all reasonable ges of the other party concerning dispute resolution, including but not limited to arbitration fees, lawyer’s fees, business trips costs, evaluatioges, investigation fees, appraisal costs, etc.);

6.        本协议生效后，即成为原协议不可分割的组成部分，与原协议具有同等法律效力。除本协议对于剩余应付款项的约定外，原协议的其余部分应完全继续有效。如本协议与原协议发生冲突时，以本协议为准。

一、双方合作投放的产品：ttsg-3讲解器

三、自签订协议后，乙方将所需设备及交与甲方向景 点游客租 用，讲解器所有权属乙方

四、自协议签订后，中英文讲解词由甲方编写，并发 给乙方，乙 方负责免费制作中英文讲解语音，在一年内并可提供四 次的免费语音修改服务，乙方根据甲方需要，也可只制作其 中一种语音。

五、合作模式及结算方式：双方运营期间，由甲方全 权负责宣传、推广、服务等相关工作，乙方不参与经营，只 提供设备。合同期内按租用设备数量每单台每日租金(_____元/ 台)合作天数计算。甲方最底需要租用乙方台设备，最底 合作期限为一年。租金每季度结算一次，由甲方于每季度最 后一天直接汇入乙方帐号。
